OVERVIEW

This website is operated by Formtech Ltd, trading as Formtech ('Formtech'). Throughout the site, the terms "we", "us" and "our" refer to Formtech Ltd, trading as ('Formtech'). Formtech offers this website, including all information, tools, products, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

Formtech is authorised Reseller of the following brands: Formlabs, Colorfabb filaments, Azure Film Filaments, Pheatus Filaments, 3DXTech filament, Fillamentium Filaments, Kiwifil Limited, iSANMATE Filaments, Slice Engineering, E3D online, Capricorn Tubing, Pheatus, Vision Miner USA, Magigoo.

Formtech is also a contracted certified distributor for: Formlabs, Polymaker New Zealand.

To ensure we can fulfil your order we hold all items in stock in New Zealand unless specified on the website as per the product pages.


IMPORTANT — PRINT SERVICE BUREAU: 

Formtech operates as a 3D print service bureau only. Formtech does not manufacture products of its own design, nor does it act as a product designer or design consultant. All 3D printing services performed by Formtech are carried out strictly on the basis of design files (CAD files) supplied by the customer. Formtech does not modify, alter, verify, validate, or engineer any customer-supplied design files. The terms "manufacture" or "manufacturing" as used on this website refer solely to the physical printing process executed from customer-supplied files and do not imply any design, engineering, or advisory role. All design responsibility rests solely and entirely with the customer.

By visiting our site and/or purchasing something from us, you engage in our "Service" and agree to be bound by the following terms and conditions ("Terms of Service", "Terms"). These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

Please read these Terms of Service carefully before accessing or using our website. If you do not agree to all the terms and conditions of this agreement, then you may not access the website, use any services or buy any products.


SECTION 1 – ONLINE STORE TERMS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your region, state or province of residence. You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). You must not transmit any worms or viruses or any code of a destructive nature. A breach or violation of any of the Terms will result in an immediate termination of your Services.


SECTION 2 – GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time. You understand that your content (not including credit card information) may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.


SECTION 3 – ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.

This site may contain certain historical information. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site.


SECTION 4 – MODIFICATIONS TO THE SERVICE AND PRICES

All prices shown on our website are in NZ dollars, per unit, and exclude GST. GST is added at the checkout / shipping. Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.


SECTION 5 – PRODUCTS AND/OR SERVICES

Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy. We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any colour will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations.


SECTION 5A – 3D PRINT SERVICES: CUSTOMER-SUPPLIED DESIGN FILES & DISCLAIMERS


5A.1  Print Service Bureau — Nature of Service

Formtech provides 3D printing services strictly as a print service bureau. Our role is limited to the physical production of parts from design files provided by the customer. Formtech does not:

  • design, engineer, create, or originate any part or product;

  • modify, alter, adjust, correct, or otherwise change any customer-supplied design file in any way;

  • provide design advice, engineering consultation, material engineering assessments, or design optimisation services;

  • review customer files for structural integrity, safety, fitness for purpose, regulatory compliance, or suitability for any intended end use;

  • verify that a design meets any standard, certification, code, or specification.

The customer is solely and entirely responsible for the design, engineering, suitability, safety, compliance, and fitness for the purpose of any files submitted to Formtech for printing.

5A.2  Customer Warranties Regarding Design Files

By submitting design files to Formtech for printing, the customer warrants and represents that:

  • the customer is the owner of, or is duly authorised to use, all intellectual property rights in the submitted design files;

  • the design files and any parts produced from them do not infringe any third-party intellectual property, patent, design right, or trade secret;

  • the customer has independently assessed and confirmed that the design, materials selected, and intended end use of the printed part are appropriate, safe, and compliant with all applicable laws, regulations, standards, and certifications;

  • the customer accepts full and sole responsibility for the design intent, structural integrity, and performance of the printed part in its intended application;

  • the customer will not use printed parts in any application without first independently verifying fitness for purpose, applicable safety standards, and legal compliance.

5A.3  No Liability for Design-Related Failures

Formtech accepts no liability whatsoever for any loss, damage, injury, death, regulatory breach, or consequential loss arising directly or indirectly from:

  • errors, omissions, defects, or inadequacies in the customer's design files;

  • the failure of a printed part to perform as intended by the customer;

  • the customer's selection of materials, print parameters (where specified by the customer), or end-use application;

  • the use of a printed part in safety-critical, load-bearing, structural, medical, aviation, military, marine, automotive, electrical, or any other regulated or high-risk application;

  • any certification, compliance, or regulatory failure associated with a printed part;

  • any third-party claim arising from the use, supply, or failure of a printed part.

Formtech's liability in connection with 3D printing services is strictly limited to the cost of re-printing the relevant part or issuing a refund for the printing service fee paid, at Formtech's sole discretion.

5A.4  Industries and Applications

Where the Formtech website references industries such as aviation, military, medical, automotive, marine, or similar sectors, this is for the purpose of identifying the industries from which our customers originate. It does not imply that Formtech holds any certification, accreditation, or authorisation to produce certified or safety-critical parts for those industries, nor does it constitute any representation that parts produced by Formtech will meet the requirements of those industries. The customer bears sole responsibility for determining whether parts printed by Formtech are suitable for use in any regulated or safety-critical context.

5A.5  Customer Indemnity for Design and Product Liability

The customer agrees to indemnify, defend, and hold harmless Formtech, its directors, officers, employees, agents, contractors, and successors from and against any and all claims, demands, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • any claim that a printed part supplied by Formtech caused injury, loss, or damage to any person or property;

  • any design defect, error, or omission in the customer's submitted design files;

  • any product liability claim relating to a part printed from customer-supplied files;

  • any breach of the customer's warranties set out in Section 5A.2;

  • any use of a printed part in an application for which the customer failed to obtain necessary certifications, approvals, or conduct appropriate testing;

  • any intellectual property claim arising from the customer's design files;

  • any claim by a third party (including end users, regulators, or insurers) arising from the supply or use of a printed part.

This indemnity survives the termination or expiry of these Terms of Service.

5A.6  Contractual Relationship with End Users

Where a customer supplies printed parts to a third party (end user), the customer is solely responsible for establishing appropriate terms and conditions with that end user, including adequate limitation of liability, product liability disclaimers, and warranties. Formtech has no contractual relationship with the end user and accepts no liability in respect of the end user's use of the printed part.


SECTION 6 – PAYMENTS

a. Payment Methods

Formtech Limited offers the following payment methods: online payments at checkout via credit/debit card or electronic payment; and bank deposits via direct debit.

b. Payment Terms

For online payments, the total amount is to be paid immediately upon placing the order. For bank deposits, full payment must be received within 2 working days from the date of purchase.

c. Non-receipt of Payment

If payment for bank deposits is not received within 2 working days, all stock items will be re-stocked. Any fees incurred due to non-receipt of payment will be deducted from the customer's account where applicable.

d. Order Processing

Orders will be processed and dispatched only after full payment has been received and confirmed.

SECTION 7 – DELIVERY

Formtech will use best endeavours to ensure we meet shipment dates as indicated/quoted. However, some aspects of the shipping process are outside of our control and during certain periods or events additional time may be required (e.g. public holidays, weekends, emergencies). We cannot be held liable for any incidental or consequential damages because of delays to deliveries or our inability to deliver.

If you choose to use your own courier/freight carrier, you will release Formtech from any liability once your provider has picked up the item from our site. If you receive any products from Formtech that are damaged or soiled, please contact Formtech immediately and in writing within 2 days of receiving the package, providing photos of the damage.


SECTION 8 – ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. You agree to provide current, complete and accurate purchase and account information for all purchases made at our store.


SECTION 9 – OPTIONAL TOOLS

We may provide you with access to third-party tools over which we neither monitor nor have any control. Any use by you of optional tools offered through the site is entirely at your own risk and discretion. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools or content.


SECTION 10 – THIRD-PARTY LINKS

Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites.


SECTION 11 – USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS

If, at our request, you send certain specific submissions or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.


SECTION 12 – PERSONAL INFORMATION

Your submission of personal information through the store is governed by our Privacy Policy. Please review our Privacy Policy for further detail.


SECTION 13 – ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice.


SECTION 14 – PROHIBITED USES

In addition to other prohibitions set forth in the Terms of Service, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to submit false or misleading information; (f) to upload or transmit viruses or any other type of malicious code; (g) to collect or track the personal information of others; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; (j) to interfere with or circumvent the security features of the Service; or (k) to on-sell/re-sell any products purchased from us.

Products purchased from this site should only be used in accordance with the full specifications provided by the manufacturers of the products. Formtech makes no representation or warranties about the manufacturers' specifications. Images, names, logos and content of the website are the property of Formtech and/or our suppliers and are protected by intellectual property rights.


SECTION 15 – DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. Neither party will be liable for any indirect or consequential loss under or in connection with this contract.

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall Formtech, our directors, officers, employees, affiliates, agents, contractors, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service.

In no case will Formtech's liability exceed the price of the product or service purchased.

3D Print Services — Specific Disclaimers: Without limiting the foregoing, Formtech gives no warranty and accepts no liability in relation to: (i) the fitness for purpose, structural integrity, safety, or performance of any part printed from customer-supplied design files; (ii) any failure of a printed part in any application, including safety-critical, load-bearing, regulated, or high-risk applications; (iii) the accuracy, correctness, or viability of any customer-supplied design file; (iv) any damage, injury, or death caused by a printed part; or (v) any regulatory, certification, or compliance failure associated with a printed part. It is the customer's sole responsibility to ensure that any printed part meets all applicable legal requirements, standards, codes, and safety obligations before use.

It is your responsibility to comply with any legal requirements, legislation, local codes, design specifications, health and safety requirements, and use/handling/storage of the products. Formtech will not be liable nor responsible for any consequences or consequential loss. You cannot rely on any recommendations made by Formtech for types of products to use. You must assess all available information and personally determine if the product or service is fit for purpose, suitable quality, safe, and compatible for the type of printer and end use.


SECTION 16 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless Formtech Ltd and Formtech Auckland Ltd and our parent, subsidiaries, affiliates, partners, officers, directors, agents, advisors, contractors, licensors, service providers, subcontractors, suppliers, interns and employees from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

Without limiting the foregoing general indemnity, and in addition to the specific indemnity set out in Section 5A.5, you expressly agree to indemnify Formtech in respect of any claim, proceeding, loss, liability, cost or expense (including legal fees on a solicitor-client basis) arising from or in connection with:

  • any product liability claim, whether under the Consumer Guarantees Act 1993, Fair Trading Act 1986, or any other statute or at common law, relating to a part printed from your design files;

  • any claim by a third party alleging injury, death, property damage, or economic loss caused by a part printed from your design files;

  • any regulatory investigation, enforcement action, or penalty arising from the use of a part printed from your design files;

  • any claim that Formtech is a "manufacturer" or "designer" of a part where such claim arises solely from Formtech having printed the part from your design files;

  • any failure by you to obtain required certifications, approvals, or consents before using or supplying a printed part;

  • any claim arising from your on-supply of a printed part to a third party end user.



SECTION 17 – SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.


SECTION 18 – TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.


SECTION 19 – ENTIRE AGREEMENT

These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us.


SECTION 20 – GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of New Zealand. Any dispute related to this agreement or products from Formtech will be subject to the jurisdiction of the New Zealand courts. Nothing in these Terms limits any rights you may have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot be excluded by agreement.


SECTION 21 – CHANGES TO TERMS OF SERVICE

You can review the most current version of the Terms of Service at any time at this page. We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
